Vacavision Co. End User License Agreement (EULA)

PLEASE READ CAREFULLY BEFORE USING THE SOFTWARE AND THE ANALYTICS.

This End-User License Agreement (“EULA”) is a legal agreement between you (“End-user” or “you”) and VACAVISION CO., a Delaware corporation (the “Company”, “Vacavision”, “we” or “us”); for the express purposes and permissions below:

  • The Software: The Vacavision web-based application services comprising a SaaS product built upon proprietary computer-vision algorithms which use Artificial Intelligence and video analytics to deliver an autonomous livestock monitoring system.
  • The Documents: Any digital manuals, frequently asked questions, or installation guides provided by us to you or your employer in connection with the Software.
  • The App: Any application for the Software (current or future) designed for smartphones, tablets, or integration into farm management systems.

This EULA is supplemental to the commercial agreements (the “Commercial License”) between Vacavision and our customers (e.g., the Farm/Employer), whereby you have been authorized to use the Software by that organization (the “Commercial Licensee”).

Important notice

  • ACCEPTANCE: By clicking "Accept", registering an account, or using the Software, you agree to be bound by these terms. This includes the Privacy Policy (available at https://vacavision.co/privacy-policy), the limitations of liability in Section 6, and the data processing consent.
  • DATA & VIDEO CAPTURE: You acknowledge that the system utilizes video footage captured on-site. Vacavision remains the owner of the Software and the analytics generated. To the fullest extent permitted by law, Vacavision is granted a license over the video footage, pursuant to the Commercial License, for purposes including AI model training and system enhancement.
  • FEES: While you (the individual user) may not be charged directly, your access depends on the Commercial Licensee remaining in good standing and up-to-date with payments.

1. Acknowledgements

1.1 The terms of this EULA apply to the Software, the App, and the Documents. We may change these terms by notifying you or the Commercial Licensee. For material changes, we will provide at least thirty (30) days’ advance notice, and your continued use of the Software after the effective date constitutes acceptance of the updated terms.

1.2 Data Consent: By using the Software, you explicitly consent to the processing of data (including video streams and metadata) on our servers. You acknowledge that internet transmissions are never completely private or secure and that data may be processed in the United States.

1.3 Hardware: You confirm you have permission from the owners of any devices used to access the Software.

2. Grant and scope of licence

2.1 In consideration of your agreement to these terms, Vacavision grants you a revocable, non-transferable, and non-exclusive license to use the Software for the internal business purposes of the Commercial Licensee.

2.2 You may access the dashboard, view analytics, and use the Documents solely for the benefit of the Commercial Licensee’s farm operations.

3. Licence restrictions

You agree NOT to:

  • (a) Copy, rent, lease, sub-license, or loan the Software or Documents.
  • (b) Reverse engineer, decompile, or disassemble the Software or attempt to derive the source code of our proprietary AI algorithms.
  • (c) Use the Software for benchmarking or to build a competitive product; and
  • (d) Provide the Software, in whole or in part, to any third party without our prior written consent.

4. Acceptable use restrictions

You must:

  • (a) Not use the Software in any unlawful manner or for fraudulent purposes.
  • (b) Not infringe our intellectual property rights or those of any third party.
  • (c) Not transmit malicious code or interfere with our servers/security systems.
  • (d) Not collect or harvest data from our systems using automated "bots" or scraping tools.

5. Intellectual property rights

5.1 You acknowledge that all intellectual property rights in the Vacavision databases, AI models, Software, and Technology belong to Vacavision Co.

5.2 The Software is licensed, not sold. You have no ownership rights in the Software, the raw video data stored on our servers, or the generated insights.

6. Limitation of liability (important)

6.1 "As-Is" Basis: The Software is provided to provide insights (behavior, health, fertility). You acknowledge that it is the responsibility of the Commercial Licensee to verify these insights.

6.2 No Livestock Guarantee: Vacavision is NOT liable for:

  • Death, illness, or injury of livestock.
  • Loss of profit, business interruption, or missed fertility windows.
  • Decisions made by farm staff based on the system’s alerts.

6.3 Capped Liability: Vacavision’s maximum aggregate liability shall be limited to the amounts actually paid by the Commercial Licensee to Vacavision in the twelve (12) months preceding the claim.

7. Termination

7.1 We may terminate this EULA immediately if you commit a material breach.

7.2 This EULA terminates automatically if the Commercial License between Vacavision and your employer/farm expires or is terminated.

7.3 Upon termination, you must immediately cease all use of the Software and delete any downloaded Documents or proprietary data.

9. Events outside our control

Vacavision is not responsible for failures caused by events outside our control, including internet outages, power failures at the farm, or cloud service interruptions (including Google Cloud and AWS).

10. Other important terms

10.1 Transfer: We may transfer our rights and obligations to another organization (e.g., in a merger).

10.2 Severability: Each section of this EULA operates separately. If a court finds one part unlawful, the rest remain in effect.

10.3 Governing Law: This EULA is governed by the laws of the State of Delaware. You agree that the courts of Delaware shall have exclusive jurisdiction over any disputes.

Execution: By accessing the Vacavision platform, you signify that you have read, understood, and accept this EULA.
